LICENSE AGREEMENT Licensed Product: Web-Based Mod-IV and PRC System This is a legal agreement between You (individually or on behalf of your company) and MicroSystems-nj.com, L.L.C. for the use of the Licensed Product described above. By pressing the 'Submit' button above and proceeding, You confirm that (i) You have read this License Agreement, and (ii) You agree to be bound by its terms and conditions. If You disagree with or do not accept any of the terms of this Evaluation License Agreement, You may cancel this transaction by pressing the 'Close' button. Use You are granted a personal, nontransferable, nonexclusive license to use the Licensed Product. Intellectual Property Rights The Licensed Product and accompanying documentation are protected by both copyright law and international treaties. MicroSystems-nj.com, L.L.C., owns all intellectual property rights in the Licensed Product and accompanying documentation. The structure, organization and code contain valuable trade secrets of MicroSystems-nj.com, L.L.C. MicroSystems-nj.com, L.L.C. retains all rights not expressly granted hereunder. Restrictions Except as expressly authorized by this Evaluation License Agreement, You may not copy, modify, translate, reverse engineer, decompile or disassemble (except as applicable law expressly prohibits this restriction) the Licensed Product. You may not sell, license, lend, reproduce, distribute or Make telecommunication data transmission of the software the Licensed Product to others, or use the Licensed Product for any purpose other than internal business use. No Warranty THE LICENSED PRODUCT IS PROVIDED 'AS IS.' MICROSYSTEMS-NJ.COM, L.L.C. MAKES NO WARRANTY, EITHER EXPRESS OR IMPLIED, RELATING TO THE LICENSED PRODUCT, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER MICROSYSTEMS-NJ.COM, L.L.C. NOR ITS SUPPLIERS WARRANTS THAT THE LICENSED PRODUCT IS ERROR-FREE, WILL OPERATE WITHOUT INTERRUPTION OR WILL WORK IN ALL COMBINATIONS SELECTED BY YOU. Limitation of Liability IN NO EVENT SHALL MICROSYSTEMS-NJ.COM, L.L.C. OR ANY OF ITS SUPPLIERS BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, COSTS OF PROCURING SUBSTITUTE PRODUCTS OR SERVICES, DAMAGES FOR LOSS OF PROFITS OR REVENUE, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE LICENSED PRODUCT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF MICROSYSTEMS-NJ.COM, L.L.C. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MICROSYSTEMS-NJ.COM, L.L.C.'S LIABILITY FOR DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSED PRODUCT FROM WHICH THE CLAIM AROSE. Right of Termination MicroSystems-nj.com, L.L.C. has the right to terminate this License Agreement if You fail to adhere to the terms and conditions of this License Agreement. Upon termination for any reason, You must destroy all copies of the Licensed Product in your possession. U.S. Government Restricted Rights The Licensed Product and accompanying documentation are Commercial Computer Software and documentation as defined under Federal Acquisition Regulations and agency supplements to them. Use, duplication or disclosure by the U.S. Government is subject to the restrictions of these licensing terms and conditions as prescribed in DFAR 227.7202-3(a) and DFAR 227.7202-4 or, as applicable, the Commercial Computer Software Restricted Rights clause at FAR 52.227-19. Manufacturer is MicroSystems-nj.com, L.L.C. 985 Route 202-206, Bridgewater, NJ 08807, USA. Governing Law and General Provisions The laws of the State of New Jersey, United States of America, to whose jurisdiction You consent, shall govern this Evaluation License Agreement. The Licensed Product may be subject to U.S. Department of Commerce export regulations. It is your responsibility to comply with all such regulations. If any part of this Evaluation License Agreement is found void or unenforceable, it will not affect the validity of the balance of the Evaluation License Agreement, which shall remain valid and enforceable according to its terms. This Evaluation License Agreement constitutes the entire agreement between MicroSystems-nj.com, L.L.C. and You concerning the Licensed Product and documentation and supersedes all prior communications, agreements and understandings, written or oral, between MicroSystems-nj.com, L.L.C. and You. MicroSystems-nj.com, L.L.C. has the right to terminate this license if there is a violation of its terms or default by the Original Purchaser. Upon termination for any reason, all copies of the Software must be immediately returned to MicroSystems-nj.com, L.L.C., and the Original Purchaser shall be liable to MicroSystems-nj.com, L.L.C. for any and all damages suffered as a result of the violation or default.
